SPONSOR: This Giveaway is sponsored by Edmentum, Inc. (“Sponsor”), 5600 W 83rd Street, Suite 300, 8200 Tower, Bloomington, Minnesota 55437, who is solely responsible for all aspects of the Giveaway. This Giveaway is in no way affiliated with or sponsored, endorsed, or administered by any social media channel on which the Giveaway may be announced, including Facebook.com, LinkedIn.com, Instagram.com, and Twitter.com (“collectively, Social Media Channels”).

HOW TO ENTER THE GIVEAWAY: Eligible participants (each, an “Entrant”) can enter by submitting a completed online entry form available at https://info.edmentum.com/HolidayGiveaway22.html. Unless expressly stated in the entry form, only one form entry per person will be accepted. Sponsor may, in its discretion, additionally opt to provide a supplemental entry opportunity during the Giveaway Period whereby, after initial entry, all Entrants will be provided an opportunity to submit an extra entry by following the instructions on the entry confirmation webpage (for example, downloading informational content from Sponsor’s website or creating a social media post). Participation in the Giveaway constitutes Entrant's full and unconditional agreement to and acceptance of these Official Terms & Conditions and by the decisions of the Sponsor, which are final and binding in all respects. Entries must be submitted by December 31, 2022 at 11:59 p.m. CT. Entries must be submitted in English.

TIME PERIOD: The Giveaway will begin at 12:00 a.m. Central Time (CT) on November 21, 2022, and end at 11:59 p.m. CT on December 31, 2022 ("Giveaway Period").

ELIGIBILITY: The Giveaway is open to educators and educational administrators serving Pre K-12 students. Employees, officers, directors, and independent contractors of Sponsor, or of Sponsor’s affiliates, subsidiaries, agents or advertising and promotion agencies, as well as its and their immediate family members (parents, children, siblings, spouses) or persons living in the same household (whether related or not) are not eligible to participate in the Giveaway. All federal, state and local laws and regulations apply. The giveaway is subject to all applicable laws and void where prohibited, taxed or restricted by law. Open only to U.S. resident individuals over the age of 18 (or the age of majority in Entrant’s state of residence). No purchase or payment of any kind is necessary to enter or win. This Giveaway is void in (a) Rhode Island if the Prize value exceeds $500 (see below for details) and (b) New York and Florida if the aggregate value of the Prizes available (“Total Prize Pool Value”) exceeds $5,000 (see below for details). Entrants must ensure their participation or prize receipt does not violate any terms and conditions of their employment, employer policy, or applicable law with respect to their relationship with their employer. Entrants employed by an entity which receives government funds are encouraged to inquire with their employer prior to entry.

WINNER SELECTION: Two winners will be selected randomly from all eligible Entrants who have submitted valid entries during the given Giveaway Period. Odds of winning depend on the number of valid entries received.

PRIZES: Each winner will receive a digital $500 Target® gift card (“Prize”). The Total Prize Pool Value is $1,000.

WINNER NOTIFICATION: Sponsor will attempt to contact winners within 14 days of the Giveaway Period end using the phone or email contact provided at the time of entry. Sponsor will make THREE (3) attempts to contact winners by email. If a winner cannot be contacted within 3 business days of the first attempted contact the Prize will be deemed forfeited and an alternate winner will be randomly selected. In the event of a dispute regarding the identity of an individual who actually submitted a Giveaway entry, the entry will be deemed submitted by the authorized account holder of the email account. "Authorized account holder" is defined as the natural person who is assigned to an email account by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitting email address. Prizes are not exchangeable or transferable. Prizes may be redeemed for the goods or services listed, subject to applicable licenses, terms and restrictions, including those of, as applicable, the gift card issuer or service provider. Prize values may not be redeemed for cash value. Sponsor reserves the right to substitute a Prize with another prize of greater or equal value if the designated Prize should become unavailable for any reason. Winners are solely responsible for all applicable fees and taxes (if any) associated with Prize receipt and use.

CONDITIONS OF PRIZE RECEIPT: If requested by Sponsor, Winner must return to Sponsor (a) an affidavit of eligibility, assignment of rights, and release of liability; (b) a certification of prize acceptance, and (c) for Prize values exceeding $600, or for any individual who has won an aggregate Prize value in any tax year exceeding $600, a completed W-9. Failure to timely satisfy these conditions may result in prize forfeiture.

WINNER LIST: To request a copy of the winner list (name, city, state), please send a self-addressed, business size envelope within 30 days of the Giveaway Period end specifying the Giveaway Time Period listed herein, to: Winner List, c/o Marketing Department, 5600 W. 83rd St., Suite 300, 8200 Tower, Bloomington, MN, 55437.

PERSONAL INFORMATION: Entrants may be required to supply certain information about themselves on an entry form including Entrant’s name, age, mailing address, phone number, email address, and employer. This information will be used by Sponsor for the purposes of administering the Contest and in accordance with Sponsor’s Privacy Policy. Winners consent to Sponsor’s publication of Entrant’s name¹, employer, city, and state in relation to the administration of the Giveaway.

PUBLICITY: By entering the Giveaway, each Entrant irrevocably grants to Sponsor the irrevocable, non-exclusive, worldwide, perpetual, royalty-free, sub-licensable rights to make use of the Entrant’s likeness, image, voice, opinions, and statements associated with the entry (“Entrant Information”), in any media now or hereafter known, without any payment or other consideration of any kind, or permission or notification to you for any of Sponsor’s advertising, marketing, promotional, or other lawful purposes. The information received from the entrants will be used or shared in accordance with Sponsor’s Privacy Policy (https://www.edmentum.com/privacy-policy).

GRANT OF RIGHTS: By entering the Giveaway, each Entrant grants Sponsor an irrevocable, non-exclusive, worldwide, perpetual, royalty-free, sub-licensable right to reproduce, record, alter, amend, edit, publish, publicly perform, use, broadcast and stream, or otherwise make use of any content submitted in or in association with the entry, whether in audio, video, photographic, document, or other format (“Entrant Material”) in any media now or hereafter known, without any payment or other consideration of any kind, or permission or notification to you or any third party for any of Sponsor’s advertising, marketing, promotional, or other lawful purposes.

INTERNET LIMITATIONS of LIABILITY: If for any reason, this Giveaway is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor that corrupts or affects the administration, security, fairness, integrity or proper conduct of the Giveaway, the Sponsor reserves the right, at its sole discretion, to terminate, modify or suspend the Giveaway in whole or in part, at any time, without notice and to select a winner, in Sponsor's sole discretion, from all eligible entries received as of the termination/suspension date. Sponsor assumes no responsibility for: (a) incorrect or inaccurate entry information or late, unintelligible, illegible, damaged, mutilated, altered, incomplete, misdirected entries received through impermissible channels, all of which may be disqualified; (b) any typographical, electronic or human error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, or theft or destruction or unauthorized access to, or alteration of, entries; (c) any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, providers, computer equipment, software, human error or traffic congestion on the internet or at any website, or any combination thereof; or (d) any damage to Entrant's systems occasioned by participating in this Giveaway or by viewing or downloading any information necessary to participate in the Giveaway.

TERMS AND CONDITIONS: By participating in this Giveaway, Entrant agrees to be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to the Giveaway. The Entrant is responsible for all costs associated with the compilation and submission of entries. All Giveaway entries must be received during the Giveaway Period. Incomplete entries, or those containing unintelligible, illegible, incorrect or inaccurate information, and entries which are received after the Giveaway Period or are received through channels other than as specified herein will be voided. Proof of sending or submission will not be deemed to be proof of receipt by Sponsor. Sponsor reserves the right to void any entry if it believes such entry was submitted fraudulently, or other than as required by these Official Rules, or that the entry has been tampered with in any manner. Sponsor reserves the right, without prior notice and at any time, to terminate or suspend the Giveaway in whole or in part, to extend the Giveaway Period or to modify the Giveaway or these Official Rules in any way, in its sole discretion. Sponsor does not assume any responsibility for any schedule changes in the Giveaway schedule, including without limitation, Acts of God or other unforeseen events. Sponsor assumes no responsibility, with respect to Entrant’s employment, for an Entrant’s failure to obtain the permissions and consents required in the Eligibility paragraph. Any illustrations and/or depictions of any Prize are for illustrative purposes only and any Prize images shown in any promotional material may not be actual Prize awarded.

THE PRIZE IS AWARDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

BY PARTICIPATING IN THIS GIVEAWAY, ENTRANT AGREES THAT SPONSOR, SPONSOR’S AFFILIATES, AND ITS AND THEIR EMPLOYEES, OFFICERS, DIRECTORS, AND AGENTS, SOCIAL MEDIA CHANNELS, PROMOTIONAL SUPPLIERS, PARTICIPATING VENDORS OR ANY OTHER COMPANY INVOLVED IN THE DESIGN, PRODUCTION, EXECUTION OR FULFILLMENT OF THE GIVEAWAY HAVE NO LIABILITY WHATSOEVER FOR ANY INJURIES, LOSSES, OR DAMAGES OF ANY KIND WHICH RESULT FROM PARTICIPATION IN THE GIVEAWAY SUBMISSION OF AN ENTRY, OR RECEIPT OR USE OF THE PRIZE.

DISPUTES: By entering the Giveaway, Entrant agrees that (1) Any and all disputes, claims, and causes of action arising out of or connected with the Giveaway, or the prize awarded, shall be resolved individually, without resort to any form of class action; and (2) Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, and Entrant shall not seek or be entitled to any punitive, consequential, exemplary or other damages, including costs associated with Giveaway participation or attorneys' fees. Questions concerning the construction or interpretation of these Official Rules, or the rights and obligations of the Entrants and Sponsor in connection with the Giveaway, shall be determined by the Sponsor in its sole and absolute discretion.

ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION VALIDITY, INTERPRETATION, AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THIS GIVEAWAY SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF MINNESOTA WITHOUT GIVING EFFECT TO ANY CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS. THE INVALIDITY OR UNENFORCEABILITY OF ANY PROVISION OF THESE OFFICIAL RULES SHALL NOT AFFECT THE VALIDITY OR ENFORCEABILITY OF ANY OTHER PROVISION. THE STATE AND FEDERAL COURTS LOCATED IN MINNESOTA HAVE EXCLUSIVE JURISDICTION OVER ANY SUIT OR OTHER PROCEEDING ARISING OUT OF OR BASED UPON THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THIS GIVEAWAY AND ENTRANT HEREBY WAIVES ANY CLAIM THAT IS NOT SUBJECT PERSONALLY TO THE JURISDICTION OF SAID COURTS OR THAT ANY SUCH SUIT OR OTHER PROCEEDING IS BROUGHT IN AN INCONVENIENT FORUM OR IMPROPER VENUE.

LIMITATION OF LIABILITY RELEASE: By participating in this Contest, each entrant agrees that Sponsor and related organizations, their agents and employees (“Released Parties”) have no liability whatsoever for any injuries, losses, or damages of any kind which result from use of the Prize, or by participation in the Contest. No responsibility is assumed by Sponsor for (a) incorrect or inaccurate entry information or late, unintelligible, illegible, damaged, mutilated, altered, incomplete, misdirected entries received through impermissible channels, all of which will be disqualified; (b) technical failures of any kind, including but not limited to the malfunctioning of any computer online systems, computer equipment, website, server provider, network, hardware or software; (c) the unavailability or inaccessibility of any website or service; (d) unauthorized intervention in any part of the entry process or the Contest including, without limitation, multiple entries by the same person through use of automatic registration or other similar programs; (e) typographical, electronic or human errors that may occur in the offer or administration of the Contest or the processing of entries; (f) any injury or damage to persons or property, including but not limited to entrant’s computer, which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest, or from viewing, playing or downloading any material from Sponsor’s website; or (g) from the acceptance or use of the Prize.

Sponsor is not responsible for any damage to Entrant's systems occasioned by participating in this Contest or by downloading any information necessary to participate in the Contest.
